Terms and conditions of sale

1. Purpose and scope

These terms and conditions of sale (“Terms”) govern watch sales between EURL UKIYO and consumers acting for purposes outside their trade, business or profession.

They do not apply to business-to-business sales. The applicable Terms are those supplied with the quotation and accepted when the order is placed.

2. Seller

3. Watches and essential characteristics

The watches are standard models from the UKIYO catalogue, manufactured after an order is placed and without customer-specific personalisation, unless otherwise agreed in writing under specific terms.

The watch’s essential characteristics — including model, movement, dimensions, materials, water resistance, strap, supplied items and, where relevant, handcrafted features — are described on the model page and restated in the quotation. If they differ, the accepted quotation prevails.

Handcrafting, particularly Grand Feu enamel dial making, may result in slight visual variations. Variations inherent in the process and consistent with the agreed characteristics are not defects.

4. Prices

Prices are stated in euros. The contractual price, applicable VAT rate and amount, and shipping costs are stated in the accepted quotation.

The least expensive model in the range starts at EUR 3,600 excluding VAT, corresponding to EUR 4,320 including VAT in France at a 20% VAT rate. Other model prices vary according to their characteristics.

For delivery to another EU Member State, the total price including VAT may vary according to the VAT rules of the destination country. For delivery to the United Kingdom, Switzerland or Norway, customs duties, import taxes and related destination charges are payable by the customer and are not included in UKIYO’s invoice.

5. Enquiry, quotation and formation of the contract

The website does not provide online payment. The customer submits an enquiry through the contact form or by email.

UKIYO sends a quotation valid for thirty calendar days, together with these Terms and the model withdrawal form by email in a format that can be retained.

The order is formed once UKIYO has received:

1. the dated and signed quotation bearing the requested acceptance wording;
2. the 30% deposit;
3. and has then sent written confirmation of the order.

The 30% payment is an advance payment (“acompte”), not a cancellation deposit (“arrhes”) under French law. It binds both parties, subject to the statutory right of withdrawal and other mandatory consumer rights.

6. Payment

Payment is made exclusively by bank transfer to the account specified by UKIYO.

• Advance payment: 30% when the order is placed.
• Balance: 70% within seven calendar days after written notice that the watch is ready, and in all cases before dispatch.

No watch will be dispatched until all amounts due have cleared. UKIYO retains ownership until full payment, without affecting the statutory transfer of risk.

7. Manufacture and delivery time

Watches are manufactured after order. As an additional organisational measure in the customer’s favour, UKIYO does not begin manufacture until fourteen calendar days after order confirmation. This does not alter or reduce the statutory right of withdrawal, which runs from receipt of the watch.

The indicative manufacturing time is three to six months, depending on component availability. A sufficiently precise delivery period or date to which UKIYO commits is stated in the quotation before payment of the advance.

In the event of delay, the customer retains all rights under applicable consumer law, including the right under French law to require delivery within an additional reasonable period and, if delivery still does not occur, to terminate the contract in the statutory circumstances.

8. Delivery

UKIYO delivers in France, EU Member States, the United Kingdom, Switzerland and Norway. Other destinations are considered case by case before an order is accepted.

The carrier, exact shipping cost and insurance arrangements are stated in the quotation. Shipping costs are payable by the customer. Shipments are insured for their declared value and delivered against signature.

Risk of loss or damage passes when the customer, or a third party appointed by the customer other than the carrier offered by UKIYO, takes physical possession of the watch.

Customers are invited to inspect the parcel and watch on delivery and promptly notify both the carrier and UKIYO of any issue. This inspection does not limit statutory guarantees.

9. Statutory right of withdrawal

For a distance contract, the customer has fourteen calendar days from the day after receipt of the watch to withdraw without giving a reason. If the final day of this period falls on a Saturday, Sunday, public holiday or non-working day, the period is extended to the next working day.

Manufacturing a standard catalogue model after order does not remove this right. The exception for goods made to the consumer’s specifications or clearly personalised will be relied upon only where genuine personalisation is separately agreed.

Before the period expires, the customer must inform UKIYO using the model form available on the website or any unambiguous statement sent to contact@ukiyowatches.com.

The watch must then be sent back within fourteen days after that notice to: EURL UKIYO, 264 rue de Lancrel, 61000 Alençon, France.

Direct return costs following withdrawal are payable by the customer. Given the watch’s value, the return must be tracked, insured for its full value and delivered against signature. The customer bears responsibility for transport they arrange.

The watch must be returned complete with its accessories and documentation and, where possible, its packaging. Absence of original packaging alone does not remove the right of withdrawal. The customer is liable only for diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the watch.

UKIYO refunds all payments received, including the cost of the standard outbound delivery offered, within fourteen days of being informed of the withdrawal. UKIYO may withhold reimbursement until the watch is recovered or proof of dispatch is supplied, whichever occurs first. Reimbursement is made by bank transfer, the original payment method, unless the customer expressly agrees to another method without incurring fees.

10. Cancellation outside the statutory withdrawal right

No additional contractual cancellation right is granted outside the statutory withdrawal right. Exceptional requests may be considered amicably case by case, without any automatic entitlement to reimbursement. This does not limit mandatory consumer rights, including in the event of delay, non-conformity or non-performance attributable to UKIYO.

11. Statutory guarantees

UKIYO is liable under the French statutory guarantee of conformity in Articles L. 217-3 et seq. of the French Consumer Code and the guarantee against hidden defects in Articles 1641 to 1649 of the French Civil Code.

The consumer has two years from delivery to invoke the statutory conformity guarantee for a defect. The consumer is entitled to repair or replacement under the statutory conditions or, where legally available, a price reduction or termination. The statutory conformity remedy is provided without cost to the consumer.

The consumer may also invoke the hidden-defects guarantee within two years after discovering the defect and choose between cancellation of the sale or a price reduction under Article 1644 of the French Civil Code.

Commercial warranty exclusions cannot restrict these statutory guarantees.

12. Three-year international commercial warranty

In addition to statutory guarantees, UKIYO provides a free three-year international commercial warranty from delivery.

It covers manufacturing defects affecting the movement, case or enamel dial in normal use. A defect accepted as covered is repaired without parts or labour charges.

The commercial warranty does not cover normal wear or ageing, including scratches to the crystal or case, natural ageing of leather straps or cosmetic changes caused by regular use. It also excludes damage caused by impact, improper handling, abnormal use, moisture exposure beyond the stated water resistance, or sudden temperature changes affecting the enamel dial.

Work performed by a third party may result in exclusion only where the defect or damage directly results from that work.

The warranty is valid worldwide, but the watch must be returned to the UKIYO workshop in Alençon under the supplied instructions. Before shipping, contact contact@ukiyowatches.com with the invoice reference or serial number and a description of the defect.

Where coverage initially appears justified, UKIYO supplies instructions and an insured transport solution. If the defect is confirmed as covered, UKIYO pays reasonable return and redelivery costs. If it is not covered, no paid repair is performed without the customer’s prior acceptance of a quotation.

Each watch has a serial number and warranty card. The invoice or serial number identifies the watch. Original packaging is not a mandatory warranty condition.

This commercial warranty applies without prejudice to the statutory conformity and hidden-defects guarantees.

13. Out-of-warranty service

For work not covered by a guarantee, UKIYO examines the watch and provides a repair quotation. No paid work begins without the customer’s acceptance. Shipping arrangements and charges are stated before dispatch.

14. Liability and force majeure

UKIYO is responsible for properly performing its obligations under applicable law. It is not liable for damage caused by misuse, failure to follow care instructions or an event of force majeure under French law, subject to mandatory legal provisions.

16. Complaints and consumer mediation

Complaints must first be sent to contact@ukiyowatches.com. UKIYO will endeavour to respond within a reasonable time.

After a prior written complaint remains unresolved, the consumer may use UKIYO’s consumer mediator free of charge.

Selected mediator: CM2C – Centre de la Médiation de la Consommation de Conciliateurs de Justice. Full details and the referral link will be added after EURL UKIYO has effectively signed the membership agreement.

The consumer remains free to bring proceedings before a competent court.

17. Governing law and language

These Terms are governed by French law. This choice does not deprive a consumer resident in another country of more protective mandatory provisions applicable to them.

Statutory rules of jurisdiction apply. This English version is supplied for accessibility; any interpretation clause operates only to the extent permitted by mandatory consumer law.
